Terms of Service

Last updated: 4 October 2026

These Terms of Service ("Terms") govern access to and use of the ComplyMark platform (the "Service"), operated by Lustra Digital LTD, a company registered in England and Wales under company number 17336367, with its registered office at 66 Paul Street, London, EC2A 4NA, United Kingdom ("ComplyMark", "we", "us"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.

ComplyMark is a UK company, and the Service is available to businesses anywhere in the world. It is offered only to business customers, not to consumers — see Section 2. These Terms apply globally and are governed by the law of England and Wales — see Section 14.

1. Acceptance of these Terms

By accessing or using the Service you confirm that you accept these Terms. If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of a business, you confirm that you have authority to bind that business to these Terms.

2. Eligibility

The Service is offered only to businesses and professionals, for use in the course of their trade, business, craft or profession — for example, to assess their own (or their clients') regulatory obligations under the EU AI Act. It is not offered to consumers, and you must not sign up or buy as a consumer. You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. At signup you confirm that you are signing up for a business and are at least 18 and authorised to bind that business, and at checkout you confirm again that you are buying for your business. By using the Service you represent that your use of it, and the accuracy of the information you provide, complies with all laws applicable to you.

The Service is available worldwide, but you may not access or use it if you are located in, or ordinarily resident in, a country subject to UK, EU, or US trade sanctions, or if you are named on a restricted-party or denied-persons list under those regimes.

3. Description of the Service

ComplyMark is a self-serve compliance workspace for EU AI Act Article 50. The Service provides: an AI-system inventory; a questionnaire-based classification of your regulatory role (provider, deployer, both, or out of scope) and the disclosure obligations that apply, generated by rule-based logic (see Privacy Policy Section 4); generation of disclosure wording in multiple languages; AI-content labelling; an append-only compliance register intended to serve as evidence that the required steps were taken; a deadline tracker; and support tickets. An optional AI-assisted intake feature lets you upload documentation (a PDF, Word or text file, or pasted text) instead of answering the questionnaire manually (see Privacy Policy Section 4). The Service is sold as the One-Off Review, a one-time purchase covering the number of AI systems you buy: for each, an automated check of that system, disclosure wording for it, a register record for it that does not expire, and inclusion in a Lawyer Review Pack you can export for review by your own lawyer. Each AI system you buy also includes up to two corrections (re-answering the questionnaire for that same system and having it re-checked) and up to five uses of the AI-assisted intake feature, which is available only while you have AI systems left to add.

ComplyMark is a compliance workspace, not legal advice. It helps organise evidence and draft disclosures based on the information you provide; it does not replace review by a qualified lawyer, and we accept no liability for reliance on generated wording, classifications, or labels without that review. The accuracy of any classification or disclosure wording generated by the Service depends entirely on the accuracy and completeness of the information you provide — the Service cannot verify facts about your own AI systems that you do not tell it.

4. Account registration and security

You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity that occurs under your account and for keeping your sign-in credentials confidential. Notify us immediately at support@complymark.io if you suspect unauthorised access to your account.

5. Pricing, payment, and refunds

  • The One-Off Review is priced per AI system and paid once, in advance, via our payment processor, Stripe. Prices are shown in EUR; local taxes or currency conversion charges from your card provider may apply.
  • It is a single payment with no free trial and no recurring charge. It is not a subscription, so there is nothing to cancel, and it does not renew: to cover more AI systems later you make a further purchase. Your receipts are available from the Billing section of the Account page inside the dashboard.
  • Before you pay, you confirm (by ticking a box on the purchase page) that you are buying for your business, agree to these Terms, and expressly ask for your review to be provided immediately, acknowledging that once it has been provided you cannot cancel it. We keep a record of that confirmation. Because the review is generated immediately after payment, we do not provide refunds for it except where required by law. If a payment is refunded, or reversed through a chargeback or payment dispute, access to the AI systems that payment covered (including their disclosure wording, register records and inclusion in the Lawyer Review Pack) ends.
  • We may change our pricing on notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

6. Acceptable use

You agree not to use the Service to:

  • Break any applicable law;
  • Provide knowingly false information about your AI systems for the purpose of obtaining an inaccurate compliance classification;
  • Infringe the intellectual property, privacy, or other rights of any third party;
  • Attempt to gain unauthorised access to the Service or other accounts;
  • Reverse engineer, scrape, or resell the Service without our written consent;
  • Use the corrections included with an AI system to assess a different AI system — each AI system you want assessed must be bought separately.

We may suspend or terminate accounts that breach this section, with or without notice, depending on severity.

7. AI-generated and generated features

Classification results, disclosure wording, content labels, and register records generated by the Service are produced automatically and are provided for informational purposes only. They may be inaccurate or incomplete, do not constitute legal advice, and have not been legally approved or certified by ComplyMark, Lustra Digital LTD, or any regulator. You are solely responsible for making sure your business (and, if you use the Service for clients, your clients' businesses) complies with the law, including by having a qualified lawyer review any classification, wording, or record before you act on, publish, or rely on it. Where the optional AI-assisted intake feature is used, its output is a starting point for you to review and correct — see Privacy Policy Section 4.

8. Your content and our licence to it

You retain ownership of the content and data you input into the Service ("Your Content"), including your AI-inventory, classification, and register data and your account and support-ticket data — all of which we store on our servers, tied to your organisation, as explained in the Privacy Policy. You grant ComplyMark a limited licence to host, process, and display Your Content solely to provide and improve the Service to you. We do not sell Your Content, and we do not use it to train AI models. Where you use the optional AI intake feature, the document you provide is sent to our AI provider solely to generate the answers you request, and is not used to train its models.

9. Intellectual property

The Service, including its software, design, and branding, is owned by ComplyMark or its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without our prior written consent.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all warranties, express or implied, regarding the Service, including as to accuracy, reliability, availability, or fitness for a particular purpose — in particular, we do not warrant that any classification, disclosure wording, or label generated by the Service is legally sufficient for your specific circumstances. Nothing in this section excludes or limits our liability where it would be unlawful to do so, including for death or personal injury caused by negligence, or for fraud.

11. Limitation of liability

To the fullest extent permitted by law, ComplyMark's total liability arising out of or in connection with these Terms or the Service, whether in contract, tort, or otherwise, shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for any indirect, special, or consequential loss, or for loss of profits, revenue, or data, or for any regulatory fine, penalty, or enforcement action arising from your reliance on Service output without independent legal review.

12. Indemnification

You agree to indemnify and hold ComplyMark harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, the accuracy of information you provide to the Service, or your use of the Service in violation of applicable law.

13. Termination

You may stop using the Service and delete your account at any time from the Account page. We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or on reasonable notice for any other reason. On termination, your right to use the Service ends immediately; provisions of these Terms that by their nature should survive termination will continue to apply.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service. Because the Service is offered only to business customers (see Section 2), consumer-protection laws that apply only to consumers do not apply to it. Nothing in these Terms excludes or limits any right that cannot lawfully be excluded or limited.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or an in-app notice) before the changes take effect. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
